State of Oklahoma, ex rel. Oklahoma Tax Commission v. C FORD ELECTRIC LLC, COREY D. FORD, individually and as a member, LYNDI N. FORD, individually and as a member

Filed: Dec 6, 2022
Type: CJ

What's This Case About?

Let’s be real: you don’t expect to see a tax bill for over half a million dollars and think, Oh, this is probably just a clerical error. But in Oklahoma, the state doesn’t mess around when it comes to unpaid withholding taxes — and one electrician and his family are now staring down a $550,133.98 debt that’s less “oops I forgot to file” and more “how did we get here without anyone noticing?”

Meet Corey D. Ford, Lyndi N. Ford, and their business, C Ford Electric LLC — a family-run electrical contracting outfit that, according to the Oklahoma Tax Commission, hasn’t paid state withholding taxes since at least 2021. That’s not just a late payment. That’s a full-blown tax time bomb, detonating slowly over four years, one unfiled quarterly return at a time. And now, the state has had enough. The Tax Commission didn’t just send a sternly worded email. They filed a lawsuit in Oklahoma County District Court demanding every penny — plus interest, penalties, and the emotional labor of being publicly named in 13 separate tax warrants.

So who are these people? Corey and Lyndi Ford aren’t some shadowy offshore shell company. They’re small business owners operating in the very literal trenches of the economy — probably crawling through attics and breaker boxes, fixing what the rest of us can’t. C Ford Electric LLC is registered in Oklahoma, and like most small contractors, they likely have employees — people who clock in, do the work, and expect a paycheck with taxes already withheld, because that’s how payroll is supposed to work. Those withheld taxes? They’re not the company’s money. They’re the state’s money, held in trust until the business sends it in. Think of it like being the middleman for your employees’ tax obligations. And when you don’t send that money — well, that’s not just a mistake. That’s a legal liability with teeth.

But somewhere along the way, C Ford Electric stopped sending. The filing shows 13 separate tax warrants, each one a paper trail of unpaid obligations stretching from April 2021 all the way into early 2025 — yes, 2025, which, unless Corey Ford has a time machine, suggests either a typo or some very aggressive future forecasting by the Tax Commission. The bulk of the debt comes from “Withholding” taxes — that’s income tax, Social Security, and Medicare that should have been taken out of employee paychecks and sent to the state. Instead, it wasn’t. And it wasn’t. And it wasn’t. Over and over.

The first three warrants, filed in December 2022 and May 2023, cover the same period — April 2021 to June 2022 — and are issued not just to the company, but to Corey and Lyndi individually. That’s important. It means the state isn’t just going after the business; they’re going after the Fords’ personal assets too. Why? Because when a business fails to pay withholding taxes, the IRS — and in this case, the Oklahoma Tax Commission — can “pierce the corporate veil” and hold responsible individuals personally liable. And who’s responsible? Usually the people signing the checks. Corey, as a member of the LLC, likely had that authority. Lyndi, listed as a member too, may have shared it. Now both are on the hook.

The numbers are staggering. The first warrant alone demands $110,039.69 — nearly $87,000 in tax, plus $13,000 in interest and $9,800 in penalties. Then another $100,729.53 to Corey personally. Then another $100,765.53 to Lyndi. All for the same tax period. That’s not a typo — the state is essentially billing the company and each individual member separately, ensuring that even if one entity is judgment-proof, the others might not be. It’s a legal shotgun blast to make sure someone pays.

And the hits keep coming. More warrants for late 2022, then 2023, then 2024. Each one carries a $200 tax warrant penalty, a $36 filing fee, and interest that keeps ticking like a doomsday clock. By the time we get to the warrant dated July 2025 — again, the future — the amount due is “only” $7,943.78. But by then, the total unpaid balance, according to the petition, is still $199,396.22 as of March 15, 2026. Wait — 2026? That’s two years from now. This document is projecting into the future like it’s a financial crystal ball. Either the Tax Commission has a time machine too, or someone really, really wants to emphasize that this debt isn’t going away.

So why are they in court? Because the Oklahoma Tax Commission has exhausted its patience. Under state law (68 O.S. § 231(K)), once a tax warrant is filed, it becomes equivalent to a court judgment. That means the state can start garnishing wages, seizing bank accounts, or putting liens on property — all without a trial. This lawsuit isn’t about proving guilt. It’s about enforcing a debt that the state already considers legally established. The Commission isn’t asking the court to decide if the Fords owe the money — they’re asking the court to help them collect it. It’s less “see you in court” and more “we’ve already won, now hand over the cash.”

And what do they want? $550,133.98 — the full amount of the assessed debt, plus more interest, penalties, and fees that continue to pile up like unread mail on a desk. Is that a lot? For a small electrical contractor, absolutely. That’s multiple trucks, a fleet of tools, years of revenue. Even if the business was bringing in solid money, withholding taxes are supposed to be passed through — not spent. If that money went toward equipment, payroll, or family expenses instead of the state, then the Fords were essentially borrowing from the government without permission. And now the government wants its money back — with fees for late return.

Here’s the absurd part: the Tax Commission didn’t just send one notice. They sent 13. Over three years. Across two counties. To the company, to Corey, to Lyndi. Each one a chance to say, “Oops, here’s the check.” But no payment came. No response. No attempt to set up a payment plan. Nothing. Either the Fords were in denial, overwhelmed, or operating under the belief that if they ignored it hard enough, it would go away. Spoiler: it did not go away.

And yet — we can’t help but wonder: what happened here? Did the business take on too much? Did a key client fail to pay, triggering a cash flow nightmare? Was there a misunderstanding about tax obligations? Or was this outright negligence — or worse? The filing doesn’t say. It doesn’t need to. The numbers speak for themselves. But the human story behind them? That’s the ghost in the machine.

Look, we’re not here to defend tax evasion. The government needs revenue. Employees deserve to have their taxes withheld. But there’s something almost tragic about watching a small business get buried under a mountain of compounding penalties — especially when early intervention might have prevented this. A $10,000 problem in 2021 became a $550,000 catastrophe by 2025. That’s not just a failure of compliance. That’s a failure of the system to stop the bleeding before it got this bad.

So what are we rooting for? Not for the Fords to walk away scot-free. But maybe — just maybe — for a resolution that doesn’t completely obliterate a family business over a cascading error. A payment plan. A settlement. Something. Because at this point, it’s not just about the money. It’s about how easy it is to fall through the cracks — and how hard it is to climb back out when the state decides you’ve had long enough.
