So who are these people? Well, technically, they’re not people at all—just two LLCs with names so similar they could be fraternal twins: Site Manufacturing, LLC, based in Arizona, and Site Solar 2020, LLC, based in Oklahoma. They sound like subsidiaries of the same eco-conscious empire, but don’t let the branding fool you. These are separate legal entities, and their relationship appears to be strictly transactional—manufacturer and buyer, lender and borrower. The key figure tying them together? A man named Chad Burris, who, according to the court filing, is the manager of both companies’ managing members. He signed the promissory note for both sides. That’s right—Chad Burris, in his various corporate capacities, essentially loaned money from one company he controls to another company he also controls. It’s like lending your roommate money to pay rent… when you’re the landlord and the roommate. The whole thing smells like a financial shell game, but hey, as long as the paperwork’s signed, the courts don’t care about optics—only obligations.

Now, what actually happened? Back in December 2020, Site Solar 2020 signed a secured promissory note for $12.4 million—yes, twelve million four hundred thousand—to buy 243 mobile solar generators from Site Manufacturing. The interest rate? A shockingly low 1.31% per year. That’s not a loan; that’s a favor from a rich uncle who really believes in green energy. The deal was supposed to work like this: Site Solar would pay interest-only installments starting in January 2021, then begin paying down principal and interest in monthly chunks of about $60,148 starting July 2021. Simple enough. The note was secured by the solar generators themselves—meaning if Site Solar defaulted, Site Manufacturing could legally take the equipment back. There was even a clause allowing prepayment without penalty, just in case Site Solar hit the jackpot and wanted to wipe the slate clean early.

But somewhere along the way, the payments stopped. According to the lawsuit, filed in January 2026, Site Solar failed to pay when due, despite being formally demanded to do so. As a result, the entire remaining balance was accelerated—meaning the full amount became immediately due. By January 20, 2026, the total owed ballooned to $14,035,051.35, thanks to $826,000 in accrued interest and a jaw-dropping $793,776 in late charges. That’s right—the late fees alone could buy you a luxury sports car. Or, more fittingly, a few dozen solar panels. The plaintiff, Site Manufacturing, claims it’s entitled to the full judgment, possession of the 243 solar units, and the right to foreclose on them—basically, to seize and sell the collateral to recoup its losses.

So why are they in court? The legal claim is straightforward: breach of contract. Site Solar failed to make payments on a loan it signed. That’s it. No fraud, no theft, no dramatic betrayal—just a business deal gone south. The promissory note is clear, the default is alleged, and the remedy is spelled out in black and white. Site Manufacturing isn’t asking for punitive damages or an injunction. It just wants its money (or the equipment), plus attorney fees, which it’s entitled to under Oklahoma law and the terms of the note. This isn’t a dispute over whether the panels work or whether the company misused funds—it’s purely about non-payment. And yet, the sheer scale of the numbers makes it feel like a financial thriller.

And what do they want? A judgment for $14 million, plus interest, plus the right to repossess and sell 243 mobile solar generators. Is $14 million a lot in this context? Oh, absolutely. For a solar equipment loan, it’s massive. For perspective, a single mobile solar generator like the ones described—1.44kW units with batteries—might retail for around $20,000 to $30,000. Even at the high end, 243 units would be worth about $7.3 million new. But these aren’t new. They’ve been sitting around since at least 2018, based on the test dates in the filing. That means they’re not just used—they’re old. And in the fast-moving world of solar tech, old means obsolete. So even if Site Manufacturing gets the units back, selling them might not cover the debt. That’s why they’re going for the full cash judgment: they don’t just want the gear. They want the money. And they want it now.

Our take? The most absurd part isn’t the money—it’s the sameness. Two companies with nearly identical names, linked by a man who signed both sides of a $12.4 million loan, now suing each other like total strangers. Was this a genuine arms-length transaction, or an internal accounting move that went off the rails? Was Site Solar 2020 set up as a special-purpose entity to finance equipment, with the expectation that third-party investors would fund it? The note hints at this—it references an “Investor Member” and an operating agreement, suggesting Site Solar wasn’t meant to pay the loan alone. But now, with default, Site Manufacturing is looking only to the company and the collateral. No personal liability for managers or members. So if Site Solar is broke, and the equipment is outdated, who really wins here?

We’re rooting for clarity. Not for either side, but for the truth: what was this deal really about? A failed green energy venture? A loan that outlived its purpose? IN THE DISTRICT COURT OF TULSA COUNTY STATE OF OKLAHOMA SITE MANUFACTURING, LLC, an Arizona limited liability company, Plaintiff v. SITE SOLAR 2020, LLC, an Oklahoma limited liability company, Defendant PETITION COMES NOW SITE MANUFACTURING, LLC, an Arizona limited liability company, ("Plaintiff"), and for its causes of action against SITE SOLAR 2020, LLC, an Oklahoma limited liability company ("Defendant"), and would aver as follows: 1. Plaintiff is an Arizona limited liability company. 2. Defendant is an Oklahoma limited liability company. 3. Plaintiff adopts all prior paragraphs as if set forth here in full. 4. On December 22, 2020, Defendant executed and delivered a Secured Promissory Note (the "Note") to Plaintiff, by which Defendant became obligated to pay $12,414,743.00 in principal, plus interest at 1.31% per annum, plus any applicable late charges, according to the terms stated in the Note, a copy attached as Exhibit A. 5. To secure performance of the Note, the Note grants to Plaintiff a security interest in 243 1.44kW mobile solar generators as more fully described on Exhibit B attached hereto, along with all proceeds of the foregoing and all accessions to, substitutions and replacements for, and rents, profits and products of the foregoing ("Collateral"). 6. Plaintiff is the current owner and holder of the Note. 7. Defendant has failed to pay the Note when due, despite demand by Plaintiff, and is therefore in default under the Note. 8. As a result of Defendant’s default, all amounts owing on the Note have been accelerated. 9. As of January 20, 2026, after credit for all payments, all amounts owing have been accelerated and there remains owing on the Note from Defendant to Plaintiff Principal in the amount of $12,414,743.00, and Interest in the amount of $826,532.35, and Late Charges in the amount of $793,776.00, for a total in the amount of $14,035,051.35 as of January 20, 2026, with Interest accruing thereafter according to the terms of the Note. 10. Plaintiff is entitled to a reasonable attorney’s fee and its other reasonable costs of collection under the terms of the Note, and pursuant to OKLA. STAT. tit. 12 § 936. 11. Any interest of Defendant in the Collateral is junior to Plaintiff’s security interest in the Collateral. 12. Plaintiff believes that Defendant is in actual or constructive possession of the Collateral, and that Defendant’s possession is subject to the rights of Plaintiff. 13. As a result of the default of the Note, Plaintiff is entitled to immediate possession of the Collateral and to foreclose its security interest in the Collateral. WHEREFORE, SITE MANUFACTURING, LLC respectfully requests that this Court enter a judgment in favor of SITE MANUFACTURING, LLC and against SITE SOLAR 2020, LLC on the Note for Principal in the amount of $12,414,743.00, and Interest in the amount of $826,532.35, and Late Charges in the amount of $793,776.00, for a total in the amount of $14,035,051.35 as of January 20, 2026, with Interest accruing thereafter according to the terms of the Note, and a judgment for the possession of the Collateral, decreeing that the interests of SITE MANUFACTURING, LLC in the Collateral are senior and prior to the interests of SITE SOLAR 2020, LLC, and authorizing the foreclosure of SITE MANUFACTURING, LLC’s security interest in the Collateral, and a reasonable attorney's fee, and the costs of this action, and such other and further relief to which SITE MANUFACTURING, LLC may be entitled. For value received, SITE SOLAR 2020 LLC, an Oklahoma limited liability company ("Maker"), promises to pay to SITE MANUFACTURING, LLC, an Arizona limited liability company ("Holder"), the sum of Twelve Million Two Hundred Thirty Thousand Five Hundred Twenty-Four and 00/100 Dollars (the "Principal") plus simple interest on the principal balance outstanding from time to time at the rate of 1.31% per annum (the "Interest"). 2. Payment of Interest Only. Commencing on January 31, 2021, Maker shall pay to Holder the Interest then due and payable in on the outstanding Principal. Maker shall pay such installments to Holder on the last business day of each month through June 30, 2021. 3. Payment of Principal and Interest. Except to the extent paid pursuant to Section 2 of this Secured Promissory Note, and to the extent prepaid pursuant to Section 4 of this Secured Promissory Note, the Principal and Interest shall be due and payable in 240 equal monthly installments of Sixty Thousand One Hundred Forty-Eight and 00/100 Dollars ($60,148.00). Maker shall pay such installments to Holder on the last business day of each month commencing July 31, 2021. 4. Prepayment. Maker may prepay, without penalty or premium, at any time, all or any portion of the outstanding principal amount of this Secured Promissory Note. Holder will apply all prepayments first to the payment of any late charges; next, to the payment of accrued interest; then to the outstanding principal amount of this Secured Promissory Note. 5. Late Charge. In the event Maker fails to timely make any payment of Principal or Interest due under this Secured Promissory Note, Holder may assess a late charge of Five Percent (5%) of the amount then past due. The assessment of a late charge shall not affect or diminish Holder’s rights and remedies in the event of default as set forth in Section 8. 6. Security. As security for the full, complete, and final payment and performance when due (whether at stated maturity, by acceleration, or otherwise) of this Secured Promissory Note, Maker hereby assigns, conveys, mortgages, pledges, hypothecates, and transfers to Holder a security interest in and to all of Maker’s right, title, and interest in, to, and under each of the following, whether now owned or at any time hereafter acquired by Maker or in which Maker now has or at any time in the future may acquire any right, title or interest (all of which being hereinafter collectively called the “Collateral”): (a) the Mobile Solar Facilities (as defined in that certain Solar Equipment Purchase Agreement [243 Units] dated as of December [__], 2020 (the “Purchase Agreement”)); and (b) all proceeds of the foregoing and all accessions to, substitutions, and replacements for, and rents, profits and products of the foregoing. Maker hereby authorizes Holder to file such financing statements or continuation statements, or amendments thereto, and such other instruments, endorsements, or notices, as may be reasonably necessary or desirable, or as Holder may reasonably request, in order to perfect the security interests granted or purported to be granted hereby. 7. Collateral. Maker shall (i) maintain all of the Collateral in good operating order and repair, normal wear and tear excepted, (ii) use and maintain the Collateral only in compliance with manufacturers’ recommendations and all applicable laws and (iii) keep all of the Collateral free and clear of all liens, claims, and encumbrances (except as granted hereby). 8. Event of Default. Time is of the essence of this Secured Promissory Note. Each of the following shall constitute an Event of Default under this Secured Promissory Note: (a) Failure of Maker to pay the Principal or Interest on this Secured Promissory Note when the same shall become due and payable; or (b) Failure of Maker to perform or comply with any other representation, warranty, or covenant contained in this Secured Promissory Note or the Purchase Agreement; or (c) Any assignment by Maker for the benefit of creditors, or filing by or against Maker of a petition in bankruptcy, or adjudication of Maker as bankrupt or insolvent, or any action taken by Maker’s directors or stockholders seeking to dissolve, liquidate, or cease doing business as a going concern. 9. Rights and Remedies Upon the Occurrence of an Event of Default. Upon the occurrence of any Event of Default, Holder shall provide written notice to Maker setting forth the facts giving rise to the Event of Default and the amount claimed owing thereunder (the “Notice of Default”). The Notice of Default shall be delivered in accordance with the provisions for notice set forth herein. Maker shall have ten (10) days from delivery of the Notice of Default to cure the Event of Default. If Maker fails to cure the Event of Default within the ten (10) day period provided for herein, Holder may immediately, and without further notice to Maker, declare all indebtedness then and thereafter owing under or in connection with this Secured Promissory Note to be due and payable. Notwithstanding the foregoing, Holder agrees that it shall not exercise any remedy (a) to the extent that the exercise of such remedy could reasonably be expected to trigger a recapture of any energy credit related to the Equipment provided to Maker under Section 48(a)(1) of the Internal Revenue Code of 1986, as amended, and (b) in the case of an Event of Default described in Section 8(a) hereof, during the period in which Maker and/or Investor Member is diligently pursuing its remedies under the Amended and Restated Operating Agreement of the Maker dated as of December [__], 2020, as amended and supplemented (the “Operating Agreement”), as applicable, in the case of any of the following: (1) [reserved], (2) Maker fails to satisfy any of its obligations to fund an Operating Deficit (as defined in the Operating Agreement) under the Operating Agreement, or (3) the Maker fails to satisfy any indemnity obligation to Investor Member or any Investor Indemnified Party (as defined in the Operating Agreement) under the Operating Agreement. 10. Setoff. Maker may, upon written notice to Holder, set off all or any portion of the amount of any indemnification claim against Holder pursuant to the Purchase Agreement against any amounts payable under this Note. 11. Transferability. This Secured Promissory Note is not transferable by Maker without the prior written consent of Holder. 12. Non-Recourse. Notwithstanding any other provision of this Secured Promissory Note, in no event shall Maker’s members, officers, directors, or managers have any personal liability for any of the obligations hereunder. Holder acknowledges and agrees, upon any Event of Default to look solely to Maker and any collateral pledged by Maker in support of Maker’s obligations. 13. Modification and Waiver. This Secured Promissory Note may not be amended, modified, or supplemented except by written agreement signed by the party against which the enforcement of the amendment, modification, or supplement is sought. No waiver of any of the provisions of this Secured Promissory Note shall be deemed, or shall constitute, a waiver of any other provision. No waiver shall be binding unless executed in writing by the party making the waiver. 14. Attorney Fees. If any legal action or other proceeding is brought to enforce the provisions of this Secured Promissory Note, the prevailing party shall be entitled to recover reasonable attorney fees and other costs incurred in the action or proceeding, in addition to any other relief to which the prevailing party may be entitled. 15. Notices. Headings. All section headings contained in this Secured Promissory Note are for convenience of reference only, do not form a part of this Secured Promissory Note, and shall not affect in any way the meaning or interpretation of this Secured Promissory Note. 17. Governing Law and Jurisdiction. This Secured Promissory Note shall be governed by and construed in accordance with the laws of the State of Oklahoma without regard to the conflicts of law principles thereof. Maker and Holder each hereby irrevocably and unconditionally (i) consents to submit to the exclusive jurisdiction of the state or federal courts sitting in Tulsa, Oklahoma for any proceeding arising in connection with this Agreement and each such party agrees not to commence any such proceeding except in such courts, and (ii) waives any objection to the venue of any such proceeding in the state or federal courts sitting in Tulsa, Oklahoma. 18. Severability. In the event any provision of this Secured Promissory Note is deemed to be invalid, illegal, or unenforceable, all other provisions of this Secured Promissory Note that are not affected by the invalidity, illegality, or unenforceability shall remain in full force and effect.
